Steven W. Cerajewski, CPAJ.D., Indiana University School of Law – Indianapolis Steve Cerajewski is an Assistant Professor of Accounting at the University of Evansville. Steve earned his J.D. and M.B.A. degrees from Indiana University and his A.B. degree from Wabash College. Steve is a certified public accountant licensed to practice in the state of Indiana and is a member of the Indiana CPA Society. Steve is admitted to practice law in the state of Indiana and the U.S. Federal Courts for the Southern District of Indiana and is a member of the Indiana State Bar Association and the American Bar Association, Taxation and Business Sections. Prior to joining the University of Evansville, Steve was an executive in the Mergers & Acquisitions practice at Ernst & Young LLP. Steve’s responsibilities included developing, evaluating and implementing U.S. federal income tax strategies and return positions with respect to taxable and tax-deferred stock and asset acquisitions, dispositions, liquidations and internal restructurings for corporations, partnerships and limited liability companies. Steve authored numerous technical memoranda documenting such tax positions in the event of an audit by the Internal Revenue Service. Steve’s responsibilities at Ernst & Young also included growing the Mergers & Acquisitions practice’s business, via the ownership of accounts and leveraging key relationships with internal and external clients, and promoting quality through consultation with others, knowledge sharing and adherence to review and risk management procedures. Steve has extensive experience analyzing corporate ownership changes under Code § 382, for purposes of determining the availability of certain tax attributes, and evaluating the cost/benefit of elections under Code § 338, by determining the net present value of acquiring corporations’ tax deductions via taxable stock acquisitions versus deemed asset acquisitions. Steve’s significant accomplishments at Ernst & Young included his appointment as Zone Scheduler responsible for determining the availability and needs of 31 Mergers and Acquisitions client serving professionals, at all ranks from staff through partner, throughout the central one-fifth of the United States. Steve proactively and efficiently deployed human resources to appropriate projects. Additionally, Steve was appointed to a national human resources task force responsible for identifying the key attributes and optimal structure required to maximize the impact of Ernst & Young’s human resources function at the local practice level. Steve also served as a lead instructor at internal Ernst & Young continuing education seminars, regarding technical tax topics and revenue generating opportunities, and as a lead instructor at Ernst & Young national training programs. |
